REPUBLICAN CLUB of FALCON

Article I : Name
The Name of this organization shall be the Republican Club of Falcon, Colorado. This organization is hereinafter referred to as RCF.
Article II: Purpose
Recognizing the conservative values and principles of the Republican Party as reflected in the State and National Platforms, the primary purpose of the Republican Club of Falcon (RCF), Colorado, shall be to have a voice in the Falcon community on Public Policy issues and to help elect Republican candidates to office.
Article III: Policy
Section 3.01 Gender
All reference to male includes the female, and the masculine pronoun includes feminine.
Section 3.02 Endorsements
The RCF may publicly endorse Republican candidates for public office upon majority vote of the executive committee. The RCF should refrain from endorsing any candidate for public office engaged in a open Republican Primary contest with another Republican. This applies only to the RCF as a whole and in no way restricts the activities of individual members provided they act as individuals and not as a representative of the RCF.
Article IV: Membership
Section 4.01 Requirements Members of the RCF must:
1. Be registered Republican electors and reside in El Paso County as shown by the registration records.
2. Must be nominated for membership by an existing RCF member.
3. Must be interviewed by the RCF Executive Committee.
4. Must receive a majority of the votes cast by those Executive Committee members present and voting.
5. Must keep any required membership fees current.
Article V: Officers
Section 5.01 Composition
1. The elected officers of the RCF shall be a Chairman, Vice-Chairman, Secretary, and
Treasurer.
2. The officers of the RCF must be registered Republican electors and residents of El Paso County for one (1) year as shown by the registration records.
3. The elected officers of the RCF shall serve for a two (2) year term following the
organizational meeting and until their successors are elected from the RCF membership.
Section 5.02 Duties
1. Chairman
a. The Chairman shall call for and preside at all meetings of the RCF and RCF
Executive Committee.
b. He may appoint a parliamentarian, at his own discretion, during RCF and RCF
Executive Committee meetings.
c. He shall observe and enforce the bylaws of the RCF.
d. He shall act as public spokesperson for the RCF or, at his own discretion,
designate an RCF member to act as a public spokesperson from time to time.
2. Vice-Chairman
a. The Vice-Chairman shall exercise the functions of the Chairman during the
temporary absence from El Paso County or the temporary inability of the
Chairman.
b. The Vice-Chairman shall perform such other duties as shall be prescribed by the
Chairman.
c. In the case of death, resignation, permanent inability to act or permanent absence
from El Paso County of the Chairman, the Vice-Chairman shall automatically
succeed to all powers and duties of the Chairman and shall call within thirty (30)
days the RCF together as provided here in for the purpose of declaring a vacancy
and electing a new Chairman.
3. Secretary
a. The Secretary shall be the chief clerical officer of the RCF and shall make a
record of all the proceedings of the RCF.
b. The Secretary shall be the custodian of all historical records, papers, and
proceedings of the RCF.
c. The Secretary shall perform other duties as may be prescribed by the Chairman.
4. Treasurer
a. The Treasurer shall be the custodian of the RCF funds including the bank account.
b. The Treasurer shall, in conjunction with the Secretary, provide a written financial
report as may be reasonably required by the Chairman and the Executive
Committee.
Section 5.03 Election
The Chairman, Vice-Chairman, Secretary and Treasurer shall be elected by a majority of the votes cast by those executive committee members present and voting at the semi annual election meeting called as the first meeting of the year in odd numbered years, or to fill any vacancy. The newly elected officers shall assume office immediately following the adjournment of the RCF meeting at which they are elected.
Section 5.04 Removal
Any elected officer of the RCF may be removed from office at any time for whatever cause the RCF may deem sufficient by a vote of two-thirds (2/3) of those present at a meeting of the executive committee called for that purpose.
Section 5.05 Vacancies
A vacancy in an office shall exist in the event of an officer’s ineligibility to hold office, death, resignation, removal, permanent absence from El Paso County or permanent disability. Vacancies are filled by nomination and election by the majority vote of the RCF executive committee.
Article VI: Executive Committee
Section 6.01 Policy
1. The RCF shall select an Executive Committee at its organizational meeting which shall exercise any and all powers conferred upon by the RCF.
2. The Executive Committee shall be governed by the bylaws of the RCF.
3. The Executive Committee shall authorize the expenditure of funds.
4. The Executive Committee may recommend, and the RCF shall vote to approve, membership fees.
5. The executive committee shall have two classes of membership. Regular members are appointed for 6 year terms. Corporate Officers serve a temporary two year term, and cease to be members upon the expiration of, or resignation from, their elected term of office.
6. In addition to the chairman, any two members of the executive committee may call a meeting of the committee.
Section 6.02 Membership
The RCF Executive Committee shall consist of the founding members of the RCF, plus the Chairman, Vice-Chairman, Secretary, Treasurer and other RCF members the Executive Committee by two thirds majority vote deems necessary for inclusion.
Section 6.03 Duties
The Executive Committee shall perform such duties as set forth in the bylaws of the RCF and such duties as empowered by the RCF membership.
Article VII: Parliamentary Authority
Robert’s Rules of Order, Newly Revised, or the current edition thereof, shall govern this
organization on all matters of procedure that are not in conflict with these bylaws.
Article VIII: Amendment
These bylaws may be amended at any meeting of the executive committee by two-thirds vote of the executive committee members present and voting, provided the proposed amendment has been submitted in writing and read at the previous meeting. This requirement for second reading may be waived by a separate two thirds affirmative vote of the executive committee.
Article IX: Dissolution
In the event of the dissolution of this Unit, after the payment of authorized expenses, the balance of any funds shall be donated to the El Paso County Republican Party.
